Terms and Conditions

1. General Provisions

1. These Terms and Conditions govern the relationship between Vinařství PRAMENY s.r.o., ID: 21455724, Polešovice 571, 687 37, Czech Republic (hereinafter "Seller") and:

   • B2B customers – wine distributors and business partners,

   • B2C customers – consumers purchasing wine directly from the winery (hereinafter "Buyer").

1. These Terms form an integral part of every contract or order concluded between the Seller and the Buyer.

2. By placing an order or purchasing wine, the Buyer confirms that they have read and agree to these Terms and Conditions.

2. Scope

1. The Seller undertakes to deliver wine and related products according to the current offer.

2. These Terms apply to distributors (B2B) and end customers (B2C).

3. Orders and Contract Formation

3.1 For Distributors (B2B)

1. Orders can be placed by email, phone, or in person.

2. An order becomes binding upon confirmation by the Seller.

3. The Seller reserves the right to refuse orders, especially if stock is unavailable or the Buyer has overdue payments.

3.2 For Consumers (B2C)

1. Wine sales occur exclusively on the winery premises.

2. The purchase contract is concluded upon payment.

3. The Seller does not sell wine online.

4. Prices and Payment Terms

1. Prices for distributors (B2B) are individually agreed. Consumer (B2C) prices include VAT.

2. Distributors pay by invoice with 14 days due date unless otherwise agreed.

3. Consumers pay in cash or by card directly at the winery.

5. Delivery

5.1 B2B

1. Delivery dates are individually agreed.

2. Risk passes to the Buyer upon receipt of goods.

5.2 B2C

1. For consumer sales, wine is handed over at the winery upon payment.

6. Claims and Liability

6.1 B2B

1. The Buyer must inspect the goods immediately upon delivery and report defects without delay.

2. Visible defects must be claimed within 7 days.

3. The Seller is liable only for defects caused by production or improper storage before delivery.

6.2 B2C

1. Consumers must check the goods upon receipt.

2. Defective goods are handled according to the Czech Civil Code.

7. Limitation of Liability

1. The Seller is not liable for damages caused by improper storage after delivery.

2. For B2B, liability is limited to the value of defective goods.

8. Privacy Policy

The Seller processes personal data of distributors and customers solely for fulfilling contractual obligations. More info is available in the Privacy Policy.

9. Intellectual Property and Prohibition of Copying

1. This website and its content, including texts, design, graphics, photos, logos, and trademarks, are the property of Vinařství PRAMENY s.r.o. or used under valid licenses.

2. Any copying, reproduction, modification, distribution, public display, or other use without prior written consent is prohibited.

3. Reverse engineering, modification of technology, or data collection using automated tools (e.g. web crawlers) is forbidden, except for the search function on the site.

4. Attempts to disrupt the site or use it unlawfully are prohibited.

5. Violations may be prosecuted under applicable law.

10. Dispute Resolution and Supervision

1. These Terms are governed by Czech law.

2. B2B disputes are resolved by the competent court in the Czech Republic.

3. Consumers may use alternative dispute resolution at the Czech Trade Inspection Authority (www.coi.cz).

11. Final Provisions

1. The Seller reserves the right to amend these Terms unilaterally.

2. Changes take effect upon publication on the Seller’s website.

3. These Terms are valid from August 1, 2025 and replace prior versions.
